Added classification of the information as insider information.

Tagehus Holding AB (the ”Company”, ”Tagehus”) contemplates issuance of new senior unsecured green bonds, announces a conditional tender offer for its outstanding 2024/2027 bonds and intends to make an early redemption of its outstanding 2024/2027 bonds.

Tagehus has mandated DNB Carnegie Investment Bank AB (publ), (”DNB Carnegie”) to arrange a series of investor meetings starting on 19 October 2026 to explore the possibility of issuing new senior unsecured green bonds in an expected amount of approximately SEK 1,000 million under a total framework of approximately SEK 1,500 million and with a tenor of three years (the ”Bond Issue” or the ”New Bonds”). A capital market transaction may follow, subject to among other things prevailing market conditions.

The proceeds from the Bond Issue will be used (i) in accordance with the Company’s green finance framework, (ii) to refinance Tagehus’ outstanding senior unsecured green 2024/2027 bonds, with ISIN SE0023440730 and an outstanding volume of SEK 750 million (the ”Existing Bonds”) (including financing of the Tender Offer, as defined below), (iii) to amortise amounts outstanding under the Company’s securities facilities, and (iv) to pay transaction costs. Tagehus will, in connection with the allocation of the New Bonds, consider, among other factors, whether or not the relevant investor seeking an allocation of the New Bonds has participated in the Tender Offer (as defined below), subject to the terms set out in the Tender Documents (as defined below).

In conjunction with the contemplated Bond Issue, Tagehus has today announced a conditional offer to the holders of the Existing Bonds, to tender their Existing Bonds for purchase by Tagehus for cash at a price of 101.4 per cent of the nominal amount plus accrued and unpaid interest but including the applicable call premium assuming a redemption on 17 December 2026 (the ”Tender Offer”). The Tender Offer is subject to the terms described in the tender application form and the tender information document dated 19 October 2026 (the ”Tender Documents”). The Tender Documents are available on Tagehus’ website via the following link:

The Tender Offer expires at 12:00 CEST on 22 October 2026, unless extended, re-opened, withdrawn or terminated at the sole discretion of Tagehus. Settlement of the Tender Offer is expected to occur on or around 29 October 2026. The Tender Offer is in its entirety conditional upon, among other things, a successful issue of the New Bonds and the amount that Tagehus intends to use for repurchases under the Tender Offer will not exceed the proceeds from the issue of the New Bonds.

Subject to the successful issuance of the New Bonds, Tagehus further intends to exercise its right, under Clause 9.3 (Voluntary total redemption (call option)) of the terms and conditions of the Existing Bonds, to make a voluntary early redemption of the outstanding Existing Bonds which have not been repurchased through the Tender Offer (the ”Early Redemption”). The Early Redemption is expected to take place on 17 December 2026, and upon such Early Redemption, the Existing Bonds will be redeemed in full at a price equal to 100.9125 per cent. of the nominal amount plus accrued and unpaid interest. In connection with the Early Redemption, the Existing Bonds will be delisted from the corporate bond list of Nasdaq First North. More information regarding the Early Redemption will be published separately by Tagehus.
