Wirtek completes acquisition of Danish SaaS company DitaExchange

Wirtek has today signed a purchase agreement and completed the acquisition of all shares in DitaExchange ApS, a Danish SaaS company headquartered in Aarhus.

DitaExchange develops and sells Dx5, a platform for component-based content management built on Microsoft 365, SharePoint and Microsoft Word, used by large enterprises and public authorities in regulated industries. The purchase agreement concludes the acquisition process originally announced on 11 June 2026, in which the company, together with its advisors, has carried out thorough and successful due diligence.

The acquisition fits well with the company's strategy, which combines a profitable foundation within Services with a scalable, subscription-based Solutions portfolio, where acquisitions are one of five strategic tracks. DitaExchange adds a subscription-based software product with recurring revenue to the Solutions division, while strengthening Wirtek's position among blue-chip customers in regulated industries. In addition, it expands the customer base in the company's focus markets, including the US and Denmark, and creates opportunities for cross-selling.

In 2025, DitaExchange grew its recurring revenue by 22% to approximately DKK 2.9 million. Customer churn was 0% during the same period. The acquisition is being carried out without the issuance of new shares, meaning existing shareholders will not be diluted. Instead, the purchase is being paid in cash through a combination of a fixed payment and a multi-year earn-out. The fixed portion of the purchase price amounts to DKK 6.0 million, payable at completion and adjusted for the acquired cash position. The earn-out payment is linked to DitaExchange's annual recurring revenue in the 2026, 2027 and 2028 financial years.

In connection with the transaction, Wirtek has made changes to its board of directors, with Kent Mousten Sørensen stepping down as chairman, while existing board member Martin Dommerby Kristiansen becomes the new chairman. Kent Mousten Sørensen is a minority shareholder in DitaExchange ApS with an ownership stake of under 15%, and is thus one of the sellers. The now former chairman has therefore not taken part in any discussions or decisions in Wirtek's board of directors regarding the transaction. The transaction was reviewed and approved by the board without his participation, and the purchase agreement was signed on Wirtek's behalf by the new chairman of the board and the CEO.

The effect of the acquisition is limited in 2026, as the transaction takes economic effect from 1 August. Wirtek therefore maintains its expectations for the year of revenue of DKK 65-70 million with an EBITDA of DKK 3-6 million. However, annual recurring revenue increases by DKK 2.9 million.
