Valuno requests drawdown of the second tranche under the Helena convertible financing
Valuno Group AB (publ) (“Valuno” or the “Company”) has, on 27 August 2026, submitted a Drawdown Notice to Helena Global Investment Opportunities 1 Ltd. (“Helena”) in respect of the second tranche under the convertible financing agreement of up to SEK 51,700,000 entered into with Helena on 10 July 2026.
The second tranche comprises zero-coupon convertible bonds of a nominal SEK 2,300,000 and Commitment Fee Bonds of a nominal SEK 1,292,500 (the second and final instalment of the commitment fee), in aggregate a nominal SEK 3,592,500 across 7,185 bonds of SEK 500 each. Attached to the bonds are 5,031,250 warrants issued free of charge with an exercise price of SEK 0.16, corresponding to 35 percent of the nominal value of the tranche.
The bonds carry no interest and mature twelve months after registration with the Swedish Companies Registration Office. The conversion price equals the higher of 93 percent of the lowest daily volume weighted average price (VWAP) over the ten trading days preceding a conversion and the quota value of SEK 0.01 per share (a floor for the conversion price). The warrant exercise price equals 150 percent of the VWAP over the five trading days preceding the drawdown and the warrants have a 60-month term.
The subscription price is discharged partly by set-off (a 5 percent subscription discount and the Commitment Fee Bonds) and as to the remainder in cash. The Company receives SEK 2,185,000 in cash for the nominal amount of SEK 2,300,000. The issue of the bonds and warrants is resolved by the Board pursuant to authorisation. The Company intends to use the proceeds for working capital.
