Voi initiated the Written Procedure in order to request the holders of the Bonds’ (the “Bondholders”) approval to amend the Terms and Conditions in order to (i) increase in the maximum amount permitted under the Super Senior WCF from a fixed EUR 5 million cap to up to EUR 25 million, (ii) extend the refinancing window for acquired debt and (iii) postpone the First Call Date.

A sufficient number of votes were obtained in order to form a quorum and a requisite majority of the voting Bondholders voted in favour of approving the proposed amendments of the Terms and Conditions. Accordingly, the agent, Nordic Trustee & Agency AB (publ), has today concluded the Written Procedure. The amendments of the Terms and Conditions will come into effect upon execution of the amended and restated Terms and Conditions.

In accordance with the notice of Written Procedure, a consent fee of 0.75 per cent of the nominal amount of all Bonds that was outstanding as at 15 October 2025 (the “Record Date”) will be paid to the Bondholders. As announced by way of press release on 9 October 2025, the payment will be made on 22 October 2025 on a pro rata basis to those who were registered as Bondholders in the debt register kept by Euroclear Sweden as at the Record Date.
