The Extraordinary General Meeting of ZignSec AB (publ), org. no. 559016–5261 (the ”Company”), was held today 28 December 2023. The meeting resolved on all proposed matters, with required majority, in accordance with the Board of Directors’ previously announced proposals. The following is a summary of the main decisions taken.
Resolution to amend the Articles of Association
The meeting resolved to amend the limits for share capital and number of shares in the Articles of Association in accordance with the proposed wording in the notice of the meeting.
Resolution approving the Board of Directors’ decision on 27 November 2023 on a directed issue of warrants
The meeting resolved to approve the Board of Directors’ resolution from 27 November 2023 on a directed issue of a maximum of 15,718,000 warrants of series TO1 with the right to subscribe for a maximum of 15,718,000 new shares in the Company. The right to subscribe for the shares shall, with deviation from the shareholders’ preferential rights, be granted to investors consulted in advance, appointed through an accelerated bookbuilding procedure carried out by Vator Securitites AB. Authorisation for the board of directors to make minor adjustments to the resolutions adopted by the General Meeting
The meeting resolved to authorise the Board of Directors, the Chief Executive Officer or the person otherwise appointed by the Board of Directors or the Chief Executive Officer to make such minor adjustments and clarifications of the resolutions adopted at the Meeting to the extent required for registration of the resolutions.
