Awardit AB (publ) ("Awardit") today signed an agreement to acquire all shares in Prämie Direkt GmbH ("Prämie Direkt") and the board of directors of Awardit has decided to carry out a non-cash share issue as part of the payment. The purchase price amounts to 17.5 MEUR.
On 30 August 2021, Awardit announced that it had signed a Term Sheet to acquire Prämie Direkt. Awardit and the owner of Prämie Direkt, BCI Development GmbH, has today signed a share purchase agreement for 100 percent of the shares in Prämie Direkt. The purchase price amounts to 17.5 MEUR of which 14.5 MEUR is paid in cash, 1.5 MEUR in the form of a promissory note and 1.5 MEUR in Awardit shares. The purchase price will be adjusted for net debt/cash and deviations from normalized working capital as of 30 November 2021.
As part of the payment, the board of directors of Awardit has, pursuant to authorization from the extraordinary shareholders meeting on 16 August 2021, decided to carry out a non-cash share issue of 65,340 shares to a price of SEK 234.85 . The share price is based on the average price during the period 27 August 2021, until 30 November 2021. The total number of shares in Awardit after completed share issue increases from 7,577,744 to 7,643,084, which corresponds to a dilution of approximately 0.9 percent.

Prämie Direkt is one of the leading loyalty companies in Germany since more than 50 years. The core business consists of providing different types of loyalty and incentive programs on a white label basis and fulfilment within these.
