Approximately 92.74 per cent of Raytelligence AB's (''Raytelligence'' or the ''Company'') warrants of series TO1 have been used for subscription of 3,386,149 shares. Accordingly, the Company has raised approximately SEK 8.53 million before issue costs by the exercise of warrants of series TO1. The Company has additionally decided on a directed share issue of approximately SEK 0.67 million.
The subscription period started on 7 June 2021 and ended on 18 June 2021, and the warrants were issued in connection to the Company's rights issue during the fourth quarter of 2020 where one (1) unit consisted of two (2) newly issued shares and one (1) warrant of series TO1. Each warrant gave the holder the right to subscribe for one (1) new share in the Company.
In total, 3,386,149 warrants of series TO1 were exercised, corresponding to approximately 92.74 of all warrants of series TO1 outstanding, for subscription of 3,386,149 shares at the subscription price of SEK 2.52 per share.
Exercised warrants have been replaced with interim shares (IA) pending registration at the Swedish Companies Registration Office. The conversion of interim shares is estimated to occur around week 27, 2021.
As announced by the Company on 6 June 2021, the Company entered into an agreement on a top guarantee of a maximum amount of approximately SEK 2.76 million that can be used if the warrants of series TO1 are not fully used for subscription of shares. Therefore, the Board of Directors has decided on the Directed Issue of up to 265 079 shares, which will raise additional proceeds of approximately SEK 0.67 million before transaction costs. The subscription price is SEK 2.52 per share, which is the subscription price based on the warrants.
The exercise of the warrants and the directed issue results in that the number of shares will increase with 3,651,228, from 21,907,369 to 25,558,597. The share capital will increase with SEK 255,585.96, from SEK 1,533,515.83 to SEK 1,789,101.80.
For existing shareholders, the dilution from exercised warrants and the directed issue amounts to a total of approximately 14.29 per cent.
