Unibap AB (publ) ("Unibap" or the "Company") announces the outcome in the exercise of warrants of series 2023/2024 ("TO 3"), which were issued in connection with the Company's rights issue of units during the autumn of 2023. A total of 8,720,668 warrants of series TO 3 were exercised to subscribe for 8,720,668 newly issued shares, corresponding to approximately 99.1 percent of the number of outstanding warrants of series TO 3. Through the exercise of the warrants of series TO 3, the Company will receive approximately SEK 17.2 million before issue costs.
The exercise period for warrants of series TO 3 ended on 1 October 2024. The subscription price per share upon exercise of warrants of series TO 3 was set at SEK 1.97 per share. A total of 8,720,668 warrants of series TO 3 were exercised for the subscription of 8,720,668 shares, meaning that approximately 99.1 percent of the outstanding warrants of series TO 3 were exercised for the subscription of shares.
Exercised warrants have been replaced with interim shares pending registration with the Swedish Companies Registration Office. The conversion of interim shares to shares is expected to take place within approximately three (3) weeks.
As a result of the exercised warrants of the series TO 3, the number of shares in Unibap increases by 8,720,668 shares to a total of 62,304,860 shares. The share capital increases by SEK 1,179,242.002764 to SEK 8,425,100.908362. For existing shareholders who did not exercise any warrants of series TO 3, the dilution amounts to approximately 14.0 percent of the number of shares and votes in the Company.
