Audientes A/S ("Audientes" or the "Company"), CVR no. 36047631, announces that the convertible loan lenders Selandia Alpha Invest A/S, Renewable Ventures Nordics AB, and Mr. Gerhard Dal have exercised their rights to convert the remaining balance of their loan receivables into shares in the Company. Following the conversion, the outstanding balance of these loans is now zero.

The total amount converted is TDKK 826, resulting in an increase in the Company's nominal share capital of DKK 740,475.12. This transaction strengthens Audientes' balance sheet by reducing debt and increasing shareholders' equity.

The conversion was carried out at a price of DKK 0.0112 per share with a nominal value of DKK 0.01, corresponding to the volume-weighted average price (VWAP) of the Audientes share on Spotlight Stock Market over the 10 trading days prior to June 3, 2025.

As a result, 74,047,512 new shares will be issued, increasing the total number of shares in Audientes to 678,551,252. The share capital increases from DKK 6,045,037.40 to DKK 6,785,512.52. The dilution effect from the transaction is approximately 10.91%.

The fees related to the loan conversion are estimated at TDKK 8 (exclusive of VAT) and will be borne by the Company.
