Audientes A/S ("Audientes" or the "Company"), CVR 36047631, announces that convertible loan lenders Selandia Alpha Invest A/S, Renewable Ventures Nordic AB, and Mr. Gerhard Dal have exercised their rights to convert part of their loan receivables into shares in the Company.
The converted loan amounts to DKK 1 million, increasing the nominal share capital by DKK 568,181.81. This conversion strengthens Audientes' balance sheet by reducing outstanding debt and increasing shareholders equity.
The conversion rate is DKK 0.0176 per share of nominal DKK 0.01, based on the VWAP of the Audientes share on Spotlight Stock Market over the 10 trading days prior to 28 February 2025.
As a result, the number of shares increases by 56,818,181, bringing the total number of shares to 456,229,821.
Immediately after the loan conversion and share issuance, Selandia Alpha Invest A/S will hold 28,409,091 shares, corresponding to approximately 6.2% of the total number of shares. The remaining convertible loans amount to TDKK 1,276.
The fees associated with the loan conversion are estimated at TDKK 8 (exclusive of VAT) and will be covered by Audientes A/S.
