Introduction

Audientes A/S ("Audientes", "the Company"), CVR. No. 36047631, announces the outcome of its pre-emptive rights issue of shares for which the subscription period ended on June 4, 2024, and in which the public was given the opportunity to subscribe ("Rights Issue").

Subscription rate and payment

The Rights Issue was subscribed to 94 percent, corresponding to approximately DKK 4.59 million, including subscription commitments of DKK 1.82 million and conversion of other debt and interest in connection with the Rights Issue of 2.76 million.

The conversion of debt of approx. DKK 2.76 million will be dedicated to strengthening the balance sheet by amortizing outstanding interest- and debt claims and liabilities, including convertible loans, trade creditors and the issue of shares to employees in lieu of reduction in salary.

The issue proceeds of approx. DKK 1.82 million before deduction of transaction related costs of approx. DKK 0.4 million will finance operational expenditures.

Number of shares and share capital

When the Rights Issue has been registered at the Danish Business Authority, the share capital will have increased with up to nominally DKK 1,310,083.54 from nominally DKK 693.843,22 up to DKK 2,003,926.76.

The total number of shares will increase by up to 131,008,354 shares, from 69,384,322 shares up to 200,392,676 shares. The dilution effect for the shareholders who did not participate in the Rights Issue therefore amounts to approximately 65 percent.

Future funding plans

Following the completion of the Rights Issue, Audientes continues to be dependent on securing additional funding, successful execution of sales targets, and managing commercial uncertainties. The management believe it is possible to achieve the necessary funding and will now pursue the other founding routes available to meet the Company's current and future financial requirements.

Audientes will continue to pursue different strategies to bring in the required financing in the short-medium term as well as exploring more longer-term structures such as partnerships, merger, sale of business or its assets, licensing, or strategic investment.
