aXichem AB: aXichem announces the outcome of the exercise of the warrants of series TO2A

aXichem AB (publ) ("aXichem" or the "Company") today announces the outcome of the exercise of the warrants series TO2A, which were issued in connection with the Company's rights issue of units in February 2026. A total of 8,355,714 TO2A, corresponding to a subscription rate of approximately 97 percent, were exercised for subscription of 8,355,714 new shares of class A in aXichem. The subscription price per share was SEK 1.50. During the exercise period, the Company received non-compensated subscription undertakings from a number of qualified investors of approx. SEK 2.0 million, corresponding to approximately 20 percent of the issue volume in TO2A, which was announced on September 11, 2026. As the subscription rate amounted to approximately 97 percent, the Board of Directors of aXichem intends, based on the authorization granted by the Annual General Meeting on June 17, 2026, to resolve on a directed issue of 258,502 shares to the qualified investors who have submitted subscription undertakings, corresponding to approximately SEK 0.4 million and approximately 3 percent of the issue volume in TO2A. The Board of Directors' decision on a directed issue of shares will be announced in a separate press release when the Board of Directors has made such a decision. aXichem will thus initially receive approximately SEK 12.5 million before issue costs through exercise of TO2A.

A total of 8,355,714 TO2A, corresponding to a subscription rate of approximately 97 percent, were exercised for subscription of 8,355,714 new Class A shares. aXichem will receive approximately SEK 12.5 million before issue costs through the exercise of TO2A and will receive an additional approximately SEK 0.4 million before issue costs through the directed share issue to the qualified investors, who have provided non-compensated subscription undertakings, that the Board of Directors intends to resolve. aXichem will thus, through TO2A and the directed issue of shares, receive a total of approximately SEK 12.9 million before issue costs, corresponding to a subscription rate of 100 percent of TO2A.

The Board of Directors intends to resolve on a directed share issue regarding subscription commitments free of charge

The Company has previously communicated an intention to resolve on a directed issue of shares to the three qualified investors Philip Ohlsson, Henrik Amilon and Capital Kin AB in the event that the free subscription undertakings are exercised after the end of the exercise period for TO2A. The outcome for the exercise of TO2A means that the Board of Directors intends to resolve on a directed issue of a total of 258,502 new shares at a subscription price of SEK 1.50 per share to the three qualified investors.

The Board of Directors' decision on a directed issue of shares will be announced in a separate press release when the Board of Directors has made such a decision.

Number of shares, share capital and dilution

Through the exercise of TO2A, the number of shares in the Company will increase by 8,355,714 shares, from 67,729,121 shares to 76,084,835 shares, and the share capital will increase by SEK 1,671,142.80, from SEK 13,545,824.20 to SEK 15,216,967, corresponding to a dilution effect of approximately 11 percent.
