Oslo, 18 June 2024: Reference is made to the stock exchange announcements made by Circio Holding ASA (the "Company") on 29 May 2024, whereby the Company published the terms of the contemplated rights issue (the "Rights Issue") and related transactions and called for the annual general meeting to be held on Wednesday 19 June 2024 at 10:00 hours (CEST) (the "AGM") for approval of inter alia the Rights Issue.

The Financial Supervisory Authority of Norway (Nw.: Finanstilsynet) has today, on 18 June 2024, approved the Company's prospectus prepared in connection with the Rights Issue and listing of new shares, comprising of a registration document, a securities note and a summary, all dated today, 18 June 2024, and a registration document approved on 28 September 2023 and a registration document supplement approved on 8 March 2024 (jointly, the "Prospectus"). Subject to applicable local securities laws, the Prospectus and the subscription form for the Rights Issue, attached to the Securities Note, is made available at the Company's website: https://www.circio.com/en/rights-issue-2024/

Subject to the AGM, to be held tomorrow, 19 June 2024, approving the Rights Issue and several matters relating to the Rights Issue, including (i) share capital increases, (ii) issuance of warrants, (iii) issuance of shares and warrants to the pre-subscribers in the Rights Issue to settle the commission, the subscription period for the Rights Issue will commence on 09:00 hours (CEST) on Monday 24 June 2024 and expire on 8 July 2024 at 16:30 hours (CEST). The subscription rights in the Rights Issue will be tradable on the Oslo Stock Exchange from 09:00 hours (CEST) on 24 June 2024 until 2 July 2024 at 16:30 hours (CEST).
