Flexion Mobile PLC ("Flexion" or the "Company"), the games marketing company, held its 2025 Annual General Meeting ("AGM") at its registered office in London on 25th June 2025 at 2.00 pm BST and hereby reports the voting outcomes.
Ordinary Resolutions
- To receive the Company's annual accounts for the financial year ended 31 December 2023
- To receive the Company's annual accounts for the financial year ended 31 December 2024
- To re-appoint Christopher Bergstresser as a Director of the Company
- To re-appoint Jens Lauritzson as a Director of the Company
- To re-appoint Per Lauritzson as a Director of the Company
- To re-appoint Ben Crawford as a Director of the Company
- To appoint Andrew Shen as a Director of the Company
- To re-appoint S&W Partners Group Limited (previously known as Evelyn
Partners LLP)
- To authorise the Company to send or supply documents or information to
members by making them available on a website or other electronic
means
- To authorise the Directors to allot shares
Special Resolutions
- That, subject to the passing of Resolution 10 above, the Directors be
authorised to allot equity securities
- That, subject to the passing of Resolution 10 above, the Directors be
authorised in addition to any authority granted under Resolution 10 above
to allot equity securities
- Authority to make market purchases of own ordinary shares
All resolutions were duly passed.
Changes to the Board of Directors
● With effect from the close of the AGM, Andrew Shen assumes the role of Chairman.
● Jens Lauritzson, Per Lauritzson, Ben Crawford, and Chris Bergstresser, were each re-appointed to continue their service as directors.
● Carl Palmstierna and Mikael Pawlo retired from the Board at the AGM. The Company thanks both outgoing directors for their support and commitment over the years.
Following these changes, the Board comprises five members and remains fully constituted and quorate in accordance with the Company's Articles of Association.

"Flexion is in pole position," said Andrew Shen, newly appointed Chairman.
"Jens and Per-the Company's founders-have built a best-in-class platform that expands distribution and consistently delights developers, players, and partners. Their combination of passion and a strong balance sheet positions Flexion to benefit from regulatory shifts in the mobile landscape.
Carl has provided thoughtful leadership and steady guidance throughout his tenure, and Mikael has likewise made valuable contributions. We thank them both and look forward to drawing on Carl's insights as a continuing shareholder.
As a hands-on Chairman, I plan to work closely with Jens, the leadership team, and the full Board to support execution and evaluate long-term strategic opportunities. We'll be conducting a holistic review of growth initiatives to help unlock Flexion's full potential."
