HKFoods to redeem its outstanding notes due 24 March 2025
This notice is made in respect of HKFoods Plc's (the "Company") 5.000 per cent fixed-rate unsecured senior notes due 24 March 2025 with an initial aggregate principal amount of EUR 90,000,000 (ISIN: FI4000490990) (the "Notes").
The Company hereby gives a notice to the holders of Notes (the "Noteholders") that it will redeem all the outstanding Notes in accordance with Condition 8.3 (Clean-up call option) of the terms and conditions of the Notes.
On 17 June 2024, the Company purchased pursuant to the terms and conditions set out in the tender offer and consent solicitation memorandum dated 31 May 2024 Notes amounting to an aggregate principal amount of EUR 80,440,000 (the "Repurchase Offer"). The remaining outstanding aggregate principal amount of the Notes after the completion of the Repurchase Offer is EUR 9,560,000, representing approximately 10.62 per cent of the initial aggregate principal amount of the Notes. The Company is therefore entitled to redeem all of the outstanding Notes in accordance with Condition 8.3 (Clean-up call option) of the terms and conditions of the Notes.
The outstanding Notes will be redeemed on 20 December 2024 (the "Redemption Date") in accordance with the terms and conditions of the Notes. On the Redemption Date, the Company will pay to the Noteholders a redemption price per Note equal to 100 per cent of their principal amount together with any accrued but unpaid interest. Interest on the Notes to be redeemed accrues until (but excluding) the Redemption Date.
This notice of redemption is irrevocable. All the outstanding Notes redeemed by the Company will be cancelled and de-listed from the official list of Nasdaq Helsinki Ltd.
