Reference is made to stock exchange notice published on 18 September 2018 regarding the reception of regulatory clearance of the voluntary offer by Victory Partners VIII Norway AS (the "Offeror") to acquire all outstanding shares in Link Mobility Group ASA ("LINK" or the "Company") (the "Offer") and that completion of the Offer shall take place on 9 October 2018, subject to satisfaction or waiver of the other closing conditions as set out in the offer document published on 9 July 2018 ("Offer Document").
As described in the Offer Document, the board of directors of the Company has entered into agreements with all holders of options for shares in the Company whereby, inter alia, the Company has a right to terminate all options awarded to management against cash settlement upon and subject to the completion of the Offer. This constitutes in total options to subscribe for 1,041,668 shares, and the options are terminated with cash remuneration in accordance with the terms of stock option agreements, constituting a total aggregated payment of NOK 128,684,668.
Furthermore, and as described in the Offer Document, following the completion of the Offer, the holdings of the primary insiders or close associates to primary insiders in the Company are:
Jens Rugseth (chairman of the board) has accepted the Offer for 727,821 shares held through Rugz AS, and 311,395 shares held by Rugz II AS, both close associates. Furthermore, Rugseth has agreed to transfer to the Offeror in exchange of shares in Victory Partners holding company, Victory Partners VIII Norway Holding AS ("Victory Holding"), 727,821 shares held by Rugz AS and 311,394 shares held by Rugz II AS, both close associates. Following the completion of the Offer, and with the exception for indirectly ownership in LINK through Victory Holding, he will not hold any shares or rights to shares in LINK.
Rune Syversen (board member) has accepted the Offer for 378,283 shares in LINK held through Sevencs AS, a close associate. Furthermore, Syversen has agreed to transfer to the Offeror in exchange of shares in Victory Holding 378,282 shares in LINK held through Sevencs AS, a close associate. Following the completion of the Offer, and with the exception for indirectly ownership in LINK through Victory Holding, he will not hold any shares or rights to shares in LINK.
Søren Sundahl (Executive VP M&A and Business Development) has accepted the Offer for 757,967 shares in LINK, of which 400,000 shares are held under a forward contract, held through Sundahl ApS, a close associate. Furthermore, Sundahl has agreed to transfer to the Offeror in exchange of shares in Victory Holding 757,967 shares in LINK held through Sundahl ApS, a close associate. Following the completion of the Offer, and with the exception for indirectly ownership in LINK through Victory Holding, he will hold not hold any shares or rights to shares in LINK.
Arild Hustad (CEO) has accepted the Offer for 75,833 shares in LINK held through Arisona Holding AS, a close associate. Furthermore, Hustad has agreed to transfer to the Offeror in exchange of shares in Victory Holding 50,000 shares in LINK held trough Arisona Holding AS, a close associate. Following the completion of the Offer, and with the exception for indirectly ownership in LINK through Victory Holding, he will hold not hold any shares or rights to shares in LINK.
Tove Giske (board member) has accepted the Offer for 4,425 shares in LINK. Following the completion of the Offer, she will not hold any shares or rights to shares in LINK.
Ingeborg Liahjell (board member) has accepted the Offer for 500 shares in LINK. Following the completion of the Offer, she will not hold any shares or rights to shares LINK.
Lillian Flora (board member) has accepted the Offer for 539 shares in LINK. Following the completion of the Offer, she will not hold any shares or rights to shares in LINK.
Bjørn-Christian Pedersen (board member) has accepted the Offer for 685 shares in LINK. Following the completion of the Offer, he will not hold any shares or rights to shares in LINK.
Krister Tånnefryd (CTIO) has accepted the Offer for 62,375 shares in LINK. Following the completion of the Offer, he will not hold any shares or rights to shares in LINK.
Lars Christian Iuel (CCO) has accepted the Offer for 5,000 shares in LINK. Following the completion of the Offer, he will not hold any shares or rights to shares in LINK.
