Lumo Homes plc Stock exchange release 1 April 2026 at 11:00 a.m. EEST
Lumo Homes has completed the acquisition of a housing portfolio and issued 24,666,667 new shares
Lumo Homes plc (previously Kojamo plc) announced on 10 February 2026 that its wholly owned subsidiary Lumo Housing (previously Lumo Kodit) will acquire a portfolio of 4,761 apartments from Varma Mutual Pension Insurance Company. The Finnish Competition and Consumer Authority approved the transaction between the parties in its decision of 19 February 2026. The parties have completed the transaction today.
The debt-free transaction price was approximately EUR 900 million, part of which was paid in cash and part in new shares issued by Lumo Homes.
As announced on 10 February 2026, as part of the financing of the transaction, Lumo Homes had issued 24,666,667 special rights referred to in Chapter 10 of the Finnish Companies Act, which entitled and obligated Varma to subscribe for 24,666,667 new shares in Lumo Homes upon the completion of the transaction. On 26 March 2026, the Board of Directors of Lumo Homes made a decision, conditional upon the completion of the transaction, to issue shares, pursuant to which Varma has today subscribed for 24,666,667 new shares of the company on the basis of the special rights. The original subscription price of the shares was EUR 11.809 per share, which, in accordance with the terms governing the special rights, has been adjusted to EUR 11.699 per share to reflect the EUR 0.11 dividend per share resolved by the company's General Meeting on 12 March 2026. The total subscription price, EUR 288,575,337.23, has been paid by contributing a corresponding portion of the housing portfolio to Lumo Housing. As a result of the share issue, the number of shares in the company will increase to 271,811,066 shares.
The new shares will be registered in the Finnish Trade Register on or about 2 April 2026 and recorded on the book-entry account of Varma on or about 7 April 2026.
Lumo Homes will submit an application for the shares to be admitted to trading on the official list of Nasdaq Helsinki Ltd. Trading with the shares is expected to commence on or about 7 April 2026 under the trading code "LUMO".
