Regulatory Company Announcement No. 3 (non-MAR)

Mendole A/S (the "Company") held an extraordinary general meeting on 27 October 2025, where it was resolved to carry out a cash capital increase and adopt amended Articles of Association.

Capital Increase

The general meeting unanimously resolved to increase the Company's share capital by nominal DKK 50,000, from DKK 484,958.9 to DKK 534,958.9, through the issuance of 500,000 new shares of nominal DKK 0.1 each.

The capital increase was carried out through cash contribution at a subscription price of DKK 8.00 per share, corresponding to a total subscription amount of DKK 4,000,000. The new shares are fully paid, freely transferable, and issued as negotiable instruments through VP Securities A/S. The new shares carry dividend and voting rights from the time of registration of the capital increase with the Danish Business Authority.

Amendments to the Articles of Association

Following the capital increase, the shareholders adopted a revised set of Articles of Association, which include:
- Updated capital structure (Section 3),
- New and adjusted authorisations for future capital increases (Sections 4.4-4.7),
- Specification of Høje-Taastrup Municipality as the registered seat (Section 6.2),
- Updated rules for publication of investor information (Section 6.9),
- Clarified composition of the Board of Directors (Section 11.2).

The amended Articles of Association have been registered with the Danish Business Authority and are available on the Company's website under the Investor Information section: www.mendole.com/investor.

Authorisation

The general meeting authorised Baker Tilly Legal Advokatfirma P/S to submit the resolutions for registration with the Danish Business Authority.
