A Letter of Intent (LOI) has been signed, marking the initial agreement between the parties to move forward with the transaction, subject to the negotiation of a final and binding share purchase agreement.

The transaction, valued at NOK 300 million on a debt and cash-free basis. The purchase price will be adjusted for net debt and working capital adjustments, as well as the annual profit up to the completion of the transaction.

The transaction is anticipated to be completed by mid-October 2025, following approval from the Norwegian Competition Authority. The parties have agreed to negotiate in good faith and aim to sign a binding share purchase agreement before the end of the exclusivity period on 30 September 2025. A due diligence period will be conducted to review the legal, financial, and operational aspects of ViaNova.
