Sandvika 5 May 2025 (OSE: NORCO): The annual general meeting of Norconsult ASA was held today as a digital meeting with online participation.
All proposals on the agenda were adopted, except for the proposals in items 17 and 18 regarding authorisation to the board of directors to acquire own shares for (i) the purpose of implementing share or incentive programs for employees, and (ii) acquire own shares for investment purposes or for the purpose of optimizing the Company's capital structure. The authorisations require a qualified majority of 2/3 of the votes in favour, while only 54.85% and 54.95% respectively votes were in favour of these two resolutions. All other proposals on the agenda were adopted. Minutes of the meeting are attached to this release and available on investor.norconsult.com.
The general meeting approved distribution of a dividend of NOK 1.70 per share. The dividend is payable to shareholders holding shares in the company as per 5 May 2025. The shares will be traded ex-dividend on Euronext Oslo Stock Exchange from and including 6 May 2025. The dividend will be paid on or about 14 May 2025.
