Reference is made to the announcement by Observe Medical ASA (the "Company" or "Observe Medical", OSE ticker "OBSVR") on 5 December 2024 regarding the final results of the subsequent offering in the Company and the waiver of the condition for completion of the share capital increase of NOK 10,630,629.88, through the issuance of 40,887,038 new shares to Navamedic ASA, at a subscription price of 0.40 per share, in connection with the conversion by Navamedic ASA of a loan amount of NOK 16,354,815.20 under a loan from Navamedic ASA to the Company (the "Loan Conversion").
The Loan Conversion has today been completed through the registration of the share capital increase pertaining to the Loan Conversion with the Norwegian Register of Business Enterprises (Nw. Foretaksregisteret). The Company's registered share capital is NOK 75,107,805.50 divided into 288,876,175 shares, each with a nominal value of NOK 0.26.
The new shares will be issued in the Norwegian Central Securities Depository (ES-OSL) on the listed ISIN NO 0010865009 and are expected to be delivered to Navamedic ASA's ES-OSL account later today on 17 December 2024.
