The board of directors in OmniCar Holding AB ("OmniCar" or the "Company"), has, in accordance with Chapter 25, Section 13 of the Swedish Companies Act, prepared a balance sheet for liquidation purposes, which the Company's auditor reviewed, which showed that the shareholders' equity is less than half of the registered share capital.

The balance sheet for liquidation purposes will be available on the Company's website and at the Company shortly.
In view thereof, the board of directors has resolved to convene an extraordinary general meeting, as well as the first control meeting (the "EGM"), as soon as possible. The EGM shall examine whether the Company should continue to operate or enter into liquidation. A formal notice of the EGM, including documents, will be published shortly.
The board of directors is of the opinion that it is in the best interests of the shareholders and the Company that the Company should continue to operate and will therefore propose to the EGM to resolve on continued operation. The board of directors will also propose to the EGM to resolve on a reduction of the Company's share capital, a measure that will mean that the share capital is not exhausted.
