Results of OrderYOYO A/S' ("OrderYOYO") annual general meeting on April 22, 2024
Today, OrderYOYO held the annual general meeting in accordance with the notice and the agenda announced on April 5, 2024.
The following resolutions were adopted:Ann-Sofie Trampe Jarløv was elected as chairman of the annual general meeting and authorised to make any amendments and additions to the resolutions passed at the general meeting that may be required in connection with the registration of the resolutions passed.
The general meeting took note of the board of directors' report on the company's activities the past financial year.
The audited annual report 2023 was approved.
The proposed resolution to transfer the results in accordance with the annual report 2023 to next year was adopted.
Victor Manuel Garcia (chairman), Ulla Brockenhuus-Schack, Theis Regner Riber Søndergaard, Jacob Arup Bratting Pedersen and Adrian Fröhling were all re-elected to the board of directors.
EY Godkendt Revisionspartnerselskab, CVR no. 30700228, was elected as the company's new auditor.
The power to bind the company adding that the company shall be bound the joint signatures of two members of the executive management was amended.
Article 15.1 of the company's articles of association was updated so that the company shall now be bound by i) the joint signatures of two members of the board of directors, ii) the joint signatures of the executive managing director of the company and the chairman of the board, iii) the joint signatures of the entire board of directors or iv) the joint signatures of two members of the executive management.
The updated articles of association, including appendices, are available on OrderYOYO's website.
The adopted resolutions will be filed with the Danish Business Authority as soon as possible after the annual general meeting.
