PEPTONIC Medical AB: Peptonic Medical acquires a strategic shareholding in DGH International AB (formerly Intellego Technologies AB)
Peptonic Medical AB (publ) ("Peptonic" or the "Company") has today, 2 September 2026, acquired 2,776,673 shares in DGH International AB ("DGH"). The acquisition is financed through a combination of cash payment, loans from the sellers and deferred payment. Following the acquisition, Peptonic's ownership amounts to approximately 8.3 percent of the votes and capital in DGH.
DGH develops and commercialises patented UV indicator technology for, among other things, disinfection and industrial applications. A key value-driving asset in the group is the subsidiary Daro Group International, whose operations, in the Company's assessment, are characterised by good profitability, a strong market position and significant growth potential.
The Board of Directors of Peptonic has, in an overall assessment of the investment, concluded that there are risks in DGH, including ongoing disputes and potential claims against DGH. In light of the estimated values in DGH's operations, technology, IP and patent portfolio, as well as the subsidiary Daro Group International, the Board considers that the investment offers attractive risk-adjusted potential and will benefit Peptonic's shareholders in the long term.
Following completion of the acquisition, Peptonic owns 2,776,673 shares in DGH, corresponding to approximately 8.3 percent of the votes and capital. The purchase price amounts to SEK 12.495 million and is paid through a cash payment of SEK 2.4 million, loans from the sellers of SEK 9.0 million and a deferred payment of SEK 1.1 million, payable no later than 31 December 2026.
Loan terms
The loan from the sellers amounts to SEK 9.0 million and runs until further notice. The lenders are entitled, at a later date, to request that all or part of the loan be set off against shares in Peptonic. The set-off shall be made at a subscription price corresponding to the volume-weighted average price (VWAP) during the five trading days preceding the request for set-off, but not lower than the share's quota value and not higher than SEK 0.001 per share. Any set-off issue is subject to a resolution by Peptonic's Board of Directors and to the fulfilment of the required corporate and securities law conditions.
