At the extraordinary general meeting in Ranplan Group AB (publ), reg. no. 559152-5315, held on 8 December 2023 in Stockholm, it was resolved that the proposed Set-Off Issue be carried out. The resolution was made in accordance with the proposal which has been made available before the extraordinary general meeting in accordance with applicable rules, see press releases Ranplan Group AB intends to implement a Set-Off Issue and Convening Notice for extraordinary general meeting in Ranplan Group AB, both published on 13 November 2023.
Once the Set-Off Issue has been completed, subject to approval by the Swedish Companies Registration Office (`Bolagsverket') then the number of outstanding shares and the share capital in Ranplan Group AB will increase by 54.80% from 30,438,242 to 47,118,242, and SEK 1,217,529.68 to SEK 1,884,729.66, respectively. Any surplus capital (above the quota value) shall be added to the free premium fund of unrestricted equity (known as `fritt eget kapital' in Swedish).
