Ranplan Group AB made public on 18th December 2023 that Per Linberg has increased his holdings in Ranplan Group AB ("Ranplan" or "the Company") corresponding to 54.8 percent of the total number of shares and votes in the Company and that the threshold for a mandatory bid has been exceeded, according to the Takeover Rules for Certain Trading Platforms published 1st January 2024 by the Stock Market Self-Regulation Committee ("the Takeover rules"). Because of this, Per Linberg has, via his wholly owned company, Goldcup 34506 AB undergoing a name change to Per Lindberg BidCo AB, org. number 559465-8204 ("Per Lindberg" or "the Bidder"), today announced a public cash offer to shareholders in Ranplan ("the Offer").
Ranplan's Board of Directors shall evaluate Per Lindberg's Offer. As Per Lindberg is the CEO of Ranplan the Board of Directors will seek to get a Fairness Opinion from an independent expert concerning the Offer. The Board of Directors will publicise its opinion of the Offer as well as the rationale together with the Fairness Opinion no later than two weeks prior to the end of the acceptance period. Information about the Offer:- After 18th December 2023 Per Linberg has agreed to acquire a further approx. 11,092,624 shares at a price of SEK 1.20 per share from shareholders residing outside the EES and will once transactions have been completed own 36,903,624 shares, corresponding to 78.32 percent of all shares and votes in the Company
- The Swedish Security Council (Aktiemarknadsnämnden) has through its ruling AMN 2024:03 given Per Lindberg an exemption from the requirement to provide the Offer to shareholders residing outside the EES
- The Bidder offers SEK 1.20 in cash for each share in Ranplan
- The Acceptance Period is expected to start around the 20th of February and end around the 19th of March 2024
