On 19 May 2022, the Annual General Meeting of Safeture AB (publ) ("Safeture" or the "Company") resolved, following proposals from the Board of Directors and the Nomination Committee respectively, to adopt two long-term incentive programs consisting of warrants. One incentive program for the Board members of the Company, and one incentive program for the management and other employees in the Company. The warrants have now been offered to, and subscribed for, by participants in both incentive programs.
Three (3) Board members have subscribed for, in total, 250,000 warrants of series 2022/2025 TO 1 in the incentive program for the Board members. Thirteen (13) members of the management and other employees have subscribed for, in total, 456,000 warrants of series 2022/2025 TO 2 in the incentive program for the management and other employees.
In both incentive programs, one warrant entitles the holder the right to subscribe for one new share in the Company during the period from and including 2 June 2025 up to and including 13 June 2025 at a subscription price which, in accordance with the terms and conditions for the warrants, has been set to SEK 4.88. If all acquired warrants are exercised for subscription of shares, the number of shares will increase by 706,000 shares, from 30,113,110 shares to 30,819,110 shares, and the share capital will increase with SEK 56,480.0, from SEK 2,409,048.8 to SEK 2,465,528.8, corresponding to a dilution effect of approximately 2.29 percent.
