Shape Robotics A/S ("Shape Robotics" or the "Company") is pleased to announce the execution of a significant Sale Purchase Framework Agreement with a leading European IT systems integrator, enabling expected revenue recognition in excess of EUR 10 million starting this month, with an estimated contract value of EUR 32 million across the full duration of the framework.
Under the terms of this agreement, Shape Robotics will deliver advanced STEAM/AI laboratory equipment to be deployed in Polish public schools under multiple government-backed procurement procedures. Deliveries are projected to begin in November 2025, with billing and revenue recognition to be aligned with milestone-based delivery cycles in accordance with public procurement procedures.
The framework has been structured such that each awarded public tender triggers a purchase order, obligating Shape Robotics to deliver under strictly regimented quality, timing and certification standards. The total potential contract volume spans a EUR 32 million pipeline, with north of EUR 10 million to be recognized beginning this month.
Strategic Financing Optimization Underway
To support this scale-up, Shape Robotics is undertaking a major refinancing and liquidity restructuring program at group level. This restructuring aims to maximize working capital availability and ensure rapid financing throughput between contract execution and public-sector settlement cycles.
The Company aims to centralize and consolidate financing at headquarters level, along the Copenhagen-Helsinki axis, to eliminate dependency on fragmented local financing across subsidiaries and support consistent and scalable execution in all operational markets.
Under the refinanced architecture, the Group will gain direct access to capital through a centralized treasury, removing bottlenecks created by credit limitations at the subsidiary level.
This enables efficient deployment of funds where upfront capital is required for contract execution, including in Poland, Romania, or Moldova. Additionally, it allows the Group to operate under harmonized factoring, asset-backed lending, and project-financing arrangements, replacing fragmented, country-specific funding structures.
Overall cash management and oversight will be strengthened through a consolidated financing hub operating between Copenhagen and Helsinki, ensuring consistent financial control across all jurisdictions.
The Company's Board, CEO and CFO office are working with multiple financial institutions to finalize this restructuring during Q4 2025. Completion is expected to fully stabilize intra-group liquidity and protect the scalability of Shape Robotics' ongoing EU tender pipeline.
