Shape Robotics ("Shape Robotics" or the "Company") is pleased to announce the approval of a comprehensive financing agreement with UniCredit Romania, comprising several credit facilities designed to enhance the Company's liquidity, support the execution of key projects, and sustain momentum in product development and production activities.

The signing process for the Financing Package is now started, subject to certain conditions precedent, aiming to be concluded in the coming week.

The financing package includes a revolving working capital line of up to EUR 7.5 million, a factoring facility for international receivables, a credit card limit, and a financial leasing plafond. These instruments collectively serve to reinforce Shape Robotics' financial position as it scales operations across its STEAM education product portfolio.

Key Financing Components:

1. Working Capital Facility - EUR 7.5 Million

Unicredit Romania approved a revolving working capital facility with a maturity of 36 months, backed by a 50% guarantee under the EIF SME Competitiveness initiative (part of the EU's Recovery and Resilience Facility). In addition, Shape Robotics A/S has issued a 100% corporate guarantee, effective for the full term of the loan.

This line is specially designated to support activities of production, distribution, and procurement related to educational robotics and digital learning solutions.

Utilizations under the facility will be disbursed based on specific conditions, ensuring transparency and traceability of repayments. The Company will maintain appropriate insurance for pledged assets and ensure regular compliance with agreed coverage thresholds.

2. Export Factoring Facility - approximately EUR 6 Million

Shape Robotics will benefit from a non-recourse export factoring facility intended to finance receivables from key international distributors. Subject to internal approvals related to identified debtors, the facility supports 90% financing on eligible invoices, with a flexible term linked to maximum payment cycles of up to 150 days.

3. Credit Card Line - EUR 250,000

To support flexible operational spending, the Company will also benefit from a credit card limit with a maturity of 24 months and an initial availability of 12 months, secured by a cash collateral mechanism.

4. Financial Leasing Facility - EUR 500,000

A financial leasing facility aiming to support equipment investments aligned with the Company's expanding production and logistics requirements has also been approved. Access to this plafond is subject to additional internal approvals and will be available for a period of 12 months, with a maturity of up to 60 months.

Financial and Strategic Impact

The new financing structure will significantly enhance Shape Robotics' working capital capacity, allowing the Company to manage extended payment terms common in public procurement while advancing product development and deployment. The package supports the rapid scaling of the Thinken product line and the delivery of Techducator and SmartLab solutions to institutional partners across Europe and emerging markets.

In addition to improving liquidity, the facilities are structured to encourage disciplined financial governance. The financing is subject to standard conditions, including requirements relating to liquidity ratios, leverage metrics, shareholder loan subordination, and limitations on distributions and incurring further indebtedness, ensuring a sound financial foundation for sustainable growth.
