Talkpool AG (the "issuer") and the bond holders have agreed on repayment of the outstanding bond loan of SEK 24,000,000, named SE0011311414 in good order.
After a successful decision procedure amongst bond holders and a corresponding board decision in Talkpool AG, the bond is scheduled to be repaid on the 28[th] of December according to the following terms:
1. A cash payment of SEK 7 million that equals slightly more than half of the payment Talkpool AG received from management buyouts in the Netherlands and Tanzania/Kenya
2. The remaining amount of total SEK 20.92 million is converted to shares in Nordic PropTech Investment Services AB (NPTIS) shares at a valuation of SEK 85.8 million. This means that each SEK 50'000 bond is converted into 60 shares. The amount is the sum of the remaining loan plus accumulated interest and waiver fees.
Two options are awarded:
3. Right for Creditors to request the sale of the converted NPTIS shares into cash if Talkpool succeeds in forcing the Pakistan sale before the end of the year 2024.
4. Right for the Issuer to request that the Creditor sell the converted shares in NPTIS to Talkpool if Talkpool succeeds in finding paying investors (in addition to conversions) before August 1, 2023.
The transaction has been delayed from the 16[th] of December 2022 to the 28[th] of December 2022 due to required administrational clarifications. An extraordinary general meeting to decide on a name change from Nordic PropTech Investment Services AB to Nordic Propeye AB has been scheduled for the 29[th] of December.
Talkpool AG's shareholding in Nordic Propeye AB is through this transaction reduced to approximately 24.4%. Further dilution in Talkpool AG's shareholding in Nordic Propeye is likely as additional debt may be converted to Nordic Propeye shares at the same valuation. This reduces Talkpool's debt and interest while creating an extraordinary gain. So, whereas Talkpool hereby surrenders its majority ownership in the promising Swedish business, the transaction leads to healthier finances and is thereby an important step in Talkpool's turn-around.
