Admicom Oyj ("Admicom" or the "Company") and the minority shareholders of its subsidiary Aitio Finland Oy ("Aitio Finland") have on June 5, 2025 signed a share exchange agreement whereby Admicom acquires the shares held by a minority in Aitio Finland for a purchase price of approximately EUR 600,000. In the share exchange, Admicom will acquire 164 Aitio Finland shares, which constitute approximately 13.7% of Aitio Finland's total share capital. After the share exchange, Admicom owns 100% of Aitio Finland's shares.

Admicom acquired the majority of Aitio Finland's shares in December 2021, and since then the company has been part of the Admicom Group as a subsidiary. Aitio Finland's minority shareholders and sellers in the share exchange are the company's 16 employees, and the aim of the acquisition carried out through the share exchange is to commit them to the development of the Group's product portfolio and business operations also after the acquisition of the minority share.

Admicom's Board of Directors resolved to offer a total of 11,724 new shares in Admicom Oyj for subscription to Aitio Finland’s minority shareholders in a directed share issue, the subscription prices of which have been paid by the minority shareholders who are sellers by transferring their shares in Aitio Finland Oy as a contribution in kind to Admicom Oyj. The subscription price of Admicom's shares offered in the share issue, EUR 51.21 per share, is based on the volume-weighted average price of Admicom's share on Nasdaq First North Growth Market Finland during the period February 3 – June 3, 2025. There are no transfer restrictions on the issued shares. The minority shareholders who are sellers have subscribed for and paid for all Admicom Oyj shares offered to them for subscription, and the Board of Directors of Admicom Oyj has approved their subscriptions.

After the registration of the directed share issue, the total number of shares in Admicom will increase to 5,019,576 shares. The number of new shares corresponds to approximately 0.2 per cent of the Company's share capital after the directed share issue. There is a weighty financial reason for deviating from the shareholders' pre-emptive subscription right in the share issue from the point of view of the Company and the shareholders, as in addition to committing the sellers and financing the transaction, Admicom clarifies its business operations and operational structure in Finland with the share issue.

The decision on the directed share issue was based on the share issue authorization granted to the Board of Directors by Admicom's Annual General Meeting on March 19, 2025. The shares will be registered with the Trade Register on or about June 6, 2025. The shares will be admitted to trading on the Nasdaq First North Growth Market Finland marketplace maintained by Nasdaq Helsinki Ltd on or about June 10, 2025 after their registration with the Trade Register.

Aitio Finland has been consolidated into Admicom Group's financial reporting as a subsidiary as of December 2021. The arrangement now being implemented will not have a material impact on Admicom's financial reporting or future prospects.
