Aiforia and the European Investment Bank have signed an agreement for EUR 20 million venture debt financing 

Aiforia Technologies Plc ("Aiforia") and the European Investment Bank ("EIB") have today signed a binding venture debt financing agreement of up to EUR 20 million. Aiforia announced on June 15, 2026, that it had agreed with the EIB on a non-binding indicative term sheet for a venture debt financing facility of up to EUR 20 million. The main terms of the financing are in line with those previously announced. In addition, due to the venture debt nature of the financing, the terms of the financing agreement include certain non-financial covenants and other requirements that are customary for such financings, for example, related to changes of the CEO or the chairperson of the Board of Directors without EIB’s prior written consent, which reflects the confidence EIB places in Aiforia’s current management team.

The financing is divided into three tranches. The first tranche is EUR 5 million, the second EUR 7 million, and the third EUR 8 million. Drawing each tranche necessitates achieving the revenue and other interim targets defined in the financing agreement within the agreed availability periods, all of which are within 36 months of signing the binding financing agreement. Each tranche matures seven years after its respective disbursement, includes a three-year grace period, and is amortized thereafter.

In accordance with the financing agreement, Aiforia and the EIB have also agreed on a synthetic warrant arrangement, the terms of which are consistent with those announced on June 15, 2026. The synthetic warrants will be issued upon the drawdown of each loan tranche, and the arrangement does not cause immediate share dilution for Aiforia's existing shareholders.

Aiforia plans to use the financing to accelerate its product development projects related to existing and new image analysis solutions, as well as to boost its commercial operations.
