Boreo Plc redeems its hybrid notes issued on 21 March 2024

This notice is made in respect of Boreo Plc’s (”Boreo”) outstanding 10.750 per cent. hybrid notes issued on 21 March 2024 (ISIN: FI4000566948) with an initial amount of EUR 20,000,000 (the ”Notes”).

Boreo hereby gives a notice to the holders of the Notes (the “Noteholders”) that it will redeem all the outstanding Notes in accordance with clause 7.6 (Clean-up call option) of the terms and conditions of the Notes.

Boreo purchased and cancelled today, pursuant to the terms and conditions set out in the tender offer memorandum dated 16 September 2026 (the “Tender Offer”), Notes amounting to an aggregate nominal amount of EUR 19,840,000. The remaining outstanding aggregate nominal amount of the Notes after the completion of the Tender Offer is EUR 160,000, representing 0.80 per cent of the initial aggregate nominal amount of the Notes. Boreo is thus entitled to redeem all of the outstanding Notes in accordance with clause 7.6 (Clean-up call option) of the terms and conditions of the Notes.

The outstanding Notes will be redeemed in whole on 13 October 2026 (the “Redemption Date”) in accordance with the terms and conditions of the Notes. On the Redemption Date, Boreo will pay to the Noteholders a redemption price per Note equal to 100 per cent of their nominal amount together with accrued but unpaid interest. Interest on the Notes to be redeemed accrues until, but excluding, the Redemption Date.

This notice of redemption is irrevocable. All the outstanding Notes redeemed by Boreo will be cancelled.
