Efecte Plc: Decisions by the Annual General Meeting 2024
Efecte Plc held its Annual General Meeting on 30 April 2024 at the Company headquarters (Säterinkatu 6, 02600 Espoo).
Approximately 92.34 percent of Efecte’s shares were represented at the Meeting in person or represented by proxy or authorised representative.
The Meeting decided to adopt the financial statements and consolidated financial statements and discharged the members of the Board of Directors and the CEO from liability for the financial year 1.1.-31.12.2023.
DISTRIBUTION OF DIVIDEND
The Meeting decided that no dividend is distributed for the financial year 1.1.-31.12.2023.
BOARD OF DIRECTORS
Three (3) members were elected to the Board. Niilo Fredrikson, Marc Breitfeld and Simon Begg were elected as new members of the Board.
It was decided that no remuneration for the elected Board members be paid for the following term of office.
AUDITOR
The authorised public accountants BDO Oy was re-elected as the auditor of the Company, with Taneli Mustonen, APA, as the auditor in charge. The Meeting decided that the remuneration of the auditor will be paid against an invoice approved by the company.
REMOVING THE TRANSFER RESTRICTIONS ON THE REMUNERATION SHARES OF THE BOARD OF DIRECTORS
The Meeting decided to remove the sale and transfer restriction, and the recorded transfer restriction on all the shares that have been used to pay approximately 40 % of the annual remuneration of the Board of Directors pursuant to decisions by the Company’s Annual General Meetings in 2021 and 2022, and which have been subject to a sale and transfer restriction of three (3) years following the payment of remuneration.
ORGANISATION OF THE BOARD
The Board of Directors held the organizational meeting after the Annual General Meeting and Simon Begg was elected Chair of the Board.
