Efecte Plc has entered into a refinancing agreement with European 24 Bidco Oy
Efecte Plc (“Efecte”) has signed with European 24 Bidco Oy (“European 24 Bidco”) an intercompany loan agreement of EUR 2.6 million for the purposes of repayment of the outstanding loan of EUR 1.5 million provided on 28 June 2022 by Danske Bank A/S, Finland Branch as well as the financing of certain transaction fees incurred in connection with the public tender offer announced by European 24 Bidco for all of Efecte’s issued and outstanding shares and stock options (the “Tender Offer”). The loan has an arms’ length interest rate to be agreed between the parties from time to time, initially being 5% per annum, and the loan shall be repaid on 31 December 2030, unless terminated earlier in accordance with the terms and conditions of the loan agreement. In connection with the intercompany loan agreement, Efecte has acceded to an intercreditor agreement relating to intra-group financing arrangements of European 24 Bidco and its affiliated entities.
European 24 Bidco has previously announced that it will complete the Tender Offer on 11 April 2024 and thereby acquire more than 90% of all issued and outstanding shares and voting rights of Efecte. The signing of the loan agreement will therefore constitute a transaction between Efecte and one of its related parties.
