Nexstim Plc’s New Shares Have Been Registered with the Finnish Trade Register
Nexstim Plc ("Nexstim" or "Company") announced on 13 May 2026 that it had agreed on an investment with Eiffel Investment Group ("Eiffel") pursuant to which Eiffel invests EUR 3.4 million in the Company by way of a directed share issue. In addition, the Company had agreed with Brainlab SE ("Brainlab") on an additional investment of EUR 0.4 million in the Company.
Pursuant to the Eiffel investment, the Company has issued 446,459 new shares, and pursuant to the Brainlab Investment, the Company has issued 56,041 new shares. These new 502,500 shares have been registered with the Finnish Trade Register on 18 May 2026 and have been traded on Nasdaq First North Growth Market Finland, maintained by Nasdaq Helsinki Ltd, with the Company’s old shares starting on 20 May 2026.
In connection with the arrangement, Eiffel has exercised 263,091 option rights acquired by it pursuant to the option purchase agreement and subscribed for 263,091 new shares in the Company at the applicable exercise prices under the relevant option programs and option classes. In addition, certain option holders of the Company have exercised 74,372 option rights retained by them and subscribed for 74,372 new shares in the Company at the applicable exercise prices under the relevant option programs and option classes. These new 337,463 shares have been registered with the Finnish Trade Register on 22 May 2026. The new shares will be traded on Nasdaq First North Growth Market Finland with the Company’s old shares starting on 25 May 2026.
The new shares confer shareholder rights once they have been registered with the Finnish Trade Register and entered in the book-entry accounts.
Following the registrations, the total number of shares in the Company amounts to 8,074,859 shares.
