Remedy Offers to Purchase 2019 Options from Key Personnel
Remedy Entertainment Plc (“Remedy”) announces that its Board of Directors has resolved that the company will offer to purchase 80 percent of its 2019 options held by key personnel (the ”Sellers“), with the purchase set to occur around 8 May 2025. After the purchase, Sellers will use part of the cash proceeds received to subscribe Remedy shares with their remaining 2019 options. The transaction covers up to 144,699 options in total.
The goal of the transaction is to enable Remedy’s key personnel to convert part of their options into shares without requiring to invest their own cash. The goal is also to facilitate that the interests of Remedy’s key people would be aligned with the company’s long-term success, while also rewarding top talent. Additionally, this transaction helps to reduce the dilution of shares.
The options will be acquired at the closing price of Remedy’s share on 30 April 2025, minus the EUR 9.23 strike price per option, with a two percent discount applied to cover Remedy’s costs for arranging the transaction. If the maximum number of options is sold in the transaction, Remedy expects to purchase 115,760 options, with an anticipated cash flow impact of approximately EUR 521,490, taking into account the commission and the subscription price received from the exercise of an estimated 28,939 options. The Board of Directors has resolved that the combined number of sold and exercised options will be used when assessing the minimum share subscription requirement contained in Section II., 2.3 of the Terms and Conditions of Option Plan 2019.
Key personnel who choose not to participate in the transaction can still use their 2019 options to subscribe for Remedy shares by 31 May 2025.
