Toivo Group Plc, Stock exchange release 3 June 2025 at 5.55 p.m. (EEST)

Toivo Group Plc ("Toivo Group" or the "Company") has today submitted a listing application with Nasdaq Helsinki Ltd ("Nasdaq Helsinki") to admit the Company's shares (the "Shares") on trading on the Main Market of Nasdaq Helsinki (the "Listing"). The Listing is conditional upon Nasdaq Helsinki approving the Company's listing application and the Finnish Financial Supervisory Authority approving the prospectus prepared in connection with the Listing.

Trading in the Shares is expected to commence on the Main Market of Nasdaq Helsinki on or about 12 June 2025. In addition, the Company has requested the Shares to be removed from the First North Growth Market Finland marketplace maintained by Nasdaq Helsinki.

The objectives of the contemplated Listing are 1) to accelerate business operations and exploit growth opportunities, 2) to strengthen shareholder value and credibility, 3) to develop governance and processes, 4) to expand the liquidity and ownership base of the Share, 5) to support the long-term strategy and 6) to potentially reduce the risk premium.

The trading code of the Shares, TOIVO, and the ISIN code, FI4000496716, will remain unchanged. As of today, Toivo Group complies with the regulations on the disclosure obligations of companies listed on a regulated market.
