Toivo Group Plc (“Toivo” or the “Company”) announced on 14 February 2025 that it had signed a preliminary agreement (the “Preliminary Agreement”) regarding the acquisition of the share capital of its associated company E-Heat Oy (the “Transaction”). Negotiations concerning the Transaction have continued since the signing of the Preliminary Agreement. However, due to factors including a potential change in Finland’s electricity tax classification, no final decisions regarding the Transaction have yet been made.

Today, Toivo has agreed with the founding shareholders of E-Heat Oy to continue negotiations regarding the Transaction. Final decisions related to the Transaction will be made once there is sufficient clarity on the potential change in Finland’s electricity tax classification, expected by the end of 2025 at the latest. The Transaction may involve the acquisition of either all or part of the share capital of E-Heat Oy.

As part of the continued negotiations, Toivo has committed to providing a guarantee of approximately EUR 0.675 million on behalf of E-Heat Oy. This guarantee is part of E-Heat Oy’s EUR 6 million investment program for 2025 and is intended to support the arrangement of growth financing to enable the expansion of E-Heat Oy’s business.

Further details regarding the Transaction and its terms will be disclosed once final decisions have been made. The completion of the Transaction is subject to, among other things, the satisfactory completion of a due diligence review by Toivo. The Transaction is also subject to other customary conditions and uncertainties typical of corporate acquisitions. Toivo is under no obligation to complete the Transaction or any similar arrangement.
