United Bankers Plc to start repurchasing its own shares from the Helsinki Stock Exchange
The Board of Directors of United Bankers Plc ("United Bankers" or the "Company") has today 5 June 2026 decided, based on the authorisation granted by the Annual General Meeting on 20 March 2026, to start repurchasing the Company's own shares. United Bankers will repurchase a maximum of 100,000 of its own shares, which corresponds to a maximum of approximately 0.90 per cent of the total number of shares in the Company. The total value of the purchases may not exceed EUR 2 million.
The repurchase of the Company's own shares will commence at the earliest 8 June 2026 and will end no later than 31 March 2027 or on the last trading day before the Annual General Meeting 2027.
The purpose of the buyback program is to repurchase the Company's own shares to be used to fulfill obligations arising from the share-based rewards to be paid to the Company's management under current and potential future incentive plans. Shares may also be repurchased to be used for a directed share issue to personnel.
The shares to be repurchased will be acquired from the market, so the repurchases will not be carried out in proportion to the shareholdings of the shareholders (directed repurchases). The Company’s own shares will be acquired in accordance with the safe harbour provisions of the Market Abuse Regulation (EU) No 596/2014 and Commission Delegated Regulation (EU) 2016/1052. The shares will be acquired in public trading on the regulated market of Nasdaq Helsinki Ltd at the market price prevailing at the time of acquisition, subject to the applicable price and volume restrictions and the terms of the share buyback program.
United Bankers has appointed an external service provider as the arranger of the share buyback program, which will make trading decisions independently of United Bankers and in accordance with the indicated limits. This also applies to the timing of trades.
On 20 March 2026, the Annual General Meeting authorised the Board of Directors to decide on the repurchase of a maximum of 150,000 of the Company's own shares using the Company's unrestricted equity.
The Company has 11,126,566 shares. The Company currently holds 65,344 treasury shares, corresponding to approximately 0.59 per cent of the Company's issued shares.
