Company Announcement no. 066 - 2025
With reference to company announcement no. 065 of 13 November 2025, WindowMaster International A/S (“WindowMaster” or the “Company”) announces the result of the subscription for shares in the capital raise without subscription rights for existing shareholders.
WindowMaster announces the completion of the capital raise, as all 97 shares (“New Shares”) have been subscribed and paid for by CEO Erik Boyter.
The 97 New shares were subscribed for in cash at a subscription price of DKK 8.32 securing the company gross proceeds of DKK 807.04. The subscription price was set at DKK 8.32 calculated as the 20-day volume-weighted average price of the Company’s shares per closing as of 28 October 2025, which was the last trading day before the notice to convene the EGM was published.
The New Shares and the related capital increase is expected to be registered with the Danish Business Authority on 13 November 2025. The New Shares will be issued electronically through EURONEXT Securities Copenhagen and are expected to be listed and admitted to trading on Nasdaq First North Growth Market Copenhagen no later than on 17 November 2025.
The New Shares will be negotiable instruments, and no restrictions will apply to their transferability. The New Shares will not carry any special rights. The rights conferred by the New Shares, including voting and dividend rights, will apply from the date when the capital increase is registered with the Danish Business Authority. The New Shares are to be registered in the name of the holder in WindowMaster´s register of shareholders.
Following registration of the capital increase with the Danish Business Authority, there will be a total of 14,738,000 shares of nominal DKK 1.00 each, corresponding to a total nominal share capital of DKK 14,738,000.
