Loxam Has Filed its Statement of Claim for the Redemption of Minority Shares in Ramirent at EUR 8.77 per share
Ramirent Plc (“Ramirent”) has been informed that Loxam S.A.S (“Loxam”) has filed its statement of claim in the arbitration proceedings concerning the redemption of all minority shares in Ramirent, and that Loxam has in its statement of claim among other things requested that the redemption price for the minority shares in Ramirent would be set at EUR 8.77 per share. In accordance with Loxam's tender offer document dated June 18, 2019, the redemption price offered by Loxam has been adjusted as a result of the payment of a EUR 0.23 per share dividend by Ramirent in accordance with the decisions of the Annual General Meeting of Ramirent held on March 14, 2019. The dividend was paid on October 3rd and 4th to shareholders that were recorded in Ramirent's shareholders' register as of September 18, 2019.
Ramirent announced earlier that Loxam has on July 29, 2019 commenced redemption proceedings in respect of minority shares in Ramirent by initiating arbitration proceedings in accordance with the Finnish Companies Act in order to obtain ownership of all the issued and outstanding shares in Ramirent. The arbitral tribunal appointed for the proceedings by the Redemption Board of the Finland Chamber of Commerce will decide on Loxam's redemption right and the fair redemption price of the minority shares in due course.
