An extraordinary general meeting of Andfjord Salmon Group AS (the "Company") was held today, 13 March 2025 at 09:00 hours (CET). In accordance with the proposals from the board, the extraordinary general meeting resolved to (i) authorize the issuance of the new shares in the private placement announced by the Company on 26 and 27 February 2025 (the "Private Placement") (the "Authorization"); and (ii) authorize the issuance of new shares in a potential subsequent repair offering. No other items were on the agenda for the extraordinary general meeting. Please find attached the minutes from the meeting.
The new shares allocated in the Private Placement (the "New Shares") will be settled on a delivery versus payment basis by delivery of existing and unencumbered shares in the Company that are already listed on Euronext Growth Oslo pursuant to a share lending agreement between the Company, Jerónimo Martins Agro-Alimentar S.A. and the managers for the Private Placement. Settlement is currently expected to occur on or about 18 March 2025 with the New Shares allocated being tradeable from on or about 17 March 2025, depending on timing for registration of the Authorization with the Norwegian Register of Business Enterprises and the subsequent resolution by the board to issue the New Shares. The final date for settlement will be confirmed in a separate stock exchange announcement once the aforementioned board resolution has been made.
