Reference is made to the stock exchange announcements made by Andfjord Salmon Group AS (the "Company") on 26 and 27 February 2025 regarding the successful private placement of 17,142,858 new shares (the "New Shares") at a subscription price of NOK 35 per share, raising gross proceeds of approximately NOK 600 million (the "Private Placement"). Reference is further made to the stock exchange announcement made by the Company on 13 March 2025 where it was stated that the final date for settlement of the New Shares allocated to subscribers in the Private Placement would be confirmed in a separate stock exchange notice following registration of the board authorization to issue the New Shares with the Norwegian Register of Business Enterprises, and the subsequent resolution by the board to issue the New Shares.
The New Shares have been resolved issued by the board, and the New Shares will, as indicated in the previous announcement, be settled on a delivery versus payment basis on 18 March 2025. Settlement will be facilitated by delivery of existing and unencumbered shares in the Company that are already listed on Euronext Growth Oslo pursuant to a share lending agreement between the Company, Jerónimo Martins Agro-Alimentar S.A. and the managers for the Private Placement. The New Shares allocated will be tradeable from 17 March 2025.
