Duell Corporation (“Duell” or the “Company”) announced on November 30, 2023, the resolution of the Board of Directors of the Company on the fully guaranteed rights offering of approximately EUR 20.2 million (the “Offering”) and the terms and conditions of the Offering. Certain shareholders of the Company, representing in aggregate approximately 37.5 percent of the existing shares in the Company, have each separately and irrevocably given subscription commitments regarding the Offerring, in addition to which HC DL Holding Ltd (a wholly-owned subsidiary of Hartwall Capital Ltd) has given full subscription guarantee undertaking for the remainder of the Offering, subject to certain conditions.

The Finnish Financial Supervisory Authority has today, on December 5, 2023, approved Duell’s Finnish language prospectus. The Finnish language prospectus will be available at the latest on December 7, 2023, before the commencement of the subscription period on Duell’s website at sijoittajat.duell.eu/merkintaoikeusanti_2023. The English language translation of the Finnish prospectus will be available at the latest on December 7, 2023, before the commencement of the subscription period on Duell’s website at investors.duell.eu/rightsoffering_2023. Access to the Finnish language prospectus and English language translation is subject to restrictions for investors outside of Finland.

The subscription period of the Offering will commence on December 7, 2023, at 9:30 a.m. (Finnish time) and end on December 21, 2023, at 4:30 p.m. (Finnish time). Public trading of the subscription rights on the Nasdaq First North Growth Market Finland maintained by Nasdaq Helsinki Ltd is expected to commence on December 7, 2023, at 10:00 a.m. (Finnish time) and it ends on December 15, 2023, at 6:30 p.m. (Finnish time).

Carnegie Investment Bank AB, Finland Branch is acting as the sole global coordinator and bookrunner for the Offering (the “Global Coordinator”). White & Case LLP is acting as legal advisor to the Company in connection with the Offering.
