The Board of Directors of GRK Infra Plc has decided to commence a repurchase of Company’s own shares (“buyback program”) on the basis of the authorisation given by the Annual General Meeting held on 30 March 2026. GRK Infra Plc does not currently hold any treasury shares.
The share buyback program will be carried out on the following main terms:
- Shares may be acquired for a maximum of EUR 20 million. A maximum of 1,500,000 shares may be acquired (approximately 3.5% of the total number of shares).
- Purpose of the repurchases: the shares will be repurchased to optimize GRK Infra Plc’s capital structure through the reduction of capital.
- Duration: From 10 August 2026 at the earliest and end by 28 February 2027 at the latest.
- Price: market price formed in public trading on Nasdaq Helsinki.
- The shares will be repurchased on Nasdaq Helsinki Stock Exchange.
- The repurchased shares will be cancelled on a quarterly basis.
The share buybacks are executed in compliance with Regulation No. 596/2014 of the European Parliament and Council (MAR) Article 5 and the Commission Delegated Regulation (EU) 2016/1052.
GRK Infra Plc has appointed a third-party broker as the lead manager for the buyback program. The broker will make trading decisions independently, without influence from GRK Infra Plc.
GRK Infra Plc may suspend or terminate the program before the planned end date. In such a case, GRK Infra Plc will publish a stock exchange release.
