It is  referred  to the stock exchange announcement dated 10 October 2024 from Måsøval AS ("the Company"), indicating that the board of directors of the Company, along with the boards of directors of its subsidiaries—Måsøval Drift AS, Måsøval Lisens AS, Måsøval Hjelpeselskap Drift AS, and Måsøval Hjelpeselskap Lisens AS—have approved a joint plan for a demerger and triangular merger. This plan was adopted at the general meetings of the respective companies on 25 October 2024, cf. the stock exchange announcement of the same date.

In accordance with the demerger and triangular merger plan, a reorganization is to be carried out in three steps. The first step involves a demerger with Måsøval Drift AS as the transferring company and Måsøval Lisens AS as the receiving company. The second step entails the execution of a demerger with the Company as the transferring company and Måsøval Hjelpeselskap Lisens AS and Måsøval Hjelpeselskap Drift AS as the receiving companies. The third step involves the execution of a triangular merger of Måsøval Lisens AS and Måsøval Hjelpeselskap Lisens AS (with Måsøval Lisens AS as the receiving company) and with the Company as the issuing company for consideration, as well as a triangular merger of Måsøval Drift AS and Måsøval Hjelpeselskap Drift AS (with Måsøval Drift AS as the receiving company) and with the Company as the issuing company for consideration.

The creditor period of six weeks has now expired. The final step in the reorganization has been registered with the Business Register today, thus completing the process. As a result, the Company has become a pure holding company after the aquaculture licenses were transferred to Måsøval Lisens AS, while employees and operational assets were transferred to Måsøval Drift AS.
