(Oslo, 22 October 2024) Investinor Direkte AS, Canica AS, Muen Invest AS and Stella Invest AS (jointly the "Sellers") have today entered into an agreement with Industrias del Acetato de Celulosa S.A., Kesse Invest SLU, Tundra International SLU and Albert Ferrando López (jointly the "Buyers") to sell all of their respective shares in Spotlio AS ("Spotlio") to the Buyers.
TRANSACTION DETAILS
The Sellers will sell to the Buyers a total of 58,645,507 shares in Spotlio at a purchase price of NOK 0.30 per share (the "Sale Shares"). The Sale Shares represent approximately 29.75% of the total outstanding shares in Spotlio.
Industrias del Acetato de Celulosa S.A. and Kesse Invest SLU have simultaneously acquired the portions of the shareholder loan provided by Investinor Direkte AS, Canica AS and Muen Invest AS to Spotlio as announced by the company on 21 March 2024, meaning that Industrias del Acetato de Celulosa S.A. and Kesse Invest SLU have taken over as creditors for these portions of the loan.
THE SELLERS’ SHAREHOLDINGS BEFORE THE TRANSACTION:
* Investinor Direkte AS: 28,796,648 shares (14.61%)
* Canica AS: 20,127,797 shares (10.21%)
* Muen Invest AS: 7,834,112 shares (3.97%)
* Stella Invest AS: 1,886,950 shares (0.96%)
SHAREHOLDINGS AFTER THE TRANSACTION:
Following completion of the transaction, the Sellers will no longer own any shares in Spotlio. The Sale Shares will be distributed among the Buyers as follows:
*Industrias del Acetato de Celulosa S.A : 30,496,648 shares.
*Kesse Invest SLU: 14,500,000 shares.
*Tundra International SLU: 6,000,000 shares.
*Albert Ferrando López: 7,648,859 shares.
