Taaleri Plc launches a new program period of the share-based incentive plan for personnel
The Board of Directors of Taaleri Plc has decided to continue the Short-Term Incentive (STI) Share Conversion Plan for a new program period (STI Share Conversion Plan 2026–2027). The structure of the plan is the same as in the STI Share Conversion Plan 2025–2026 that was announced on 12 December 2024. The purpose of the plan is to align employee and shareholder interests by fostering ownership culture and driving performance to increase the value of the company in the long term, as well as to retain talent through competitive equity compensation.
The STI Share Conversion Plan 2026–2027 offers participants the opportunity to earn Taaleri shares by converting a proportion of the short-term incentive reward earned during the financial year 2026 into Taaleri shares. The short-term incentive rewards will be converted using the trade volume weighted average price of Taaleri share on Nasdaq Helsinki during December 2026. Converted rewards are then multiplied with a reward multiplier of 1.4.
The plan comprises a short-term incentive period covering the financial year 2026 and a subsequent vesting period covering the financial year 2027, after which the potential rewards will be paid. The number of shares that will be paid depends on the rewards earned in the short-term incentive plan, Taaleri share price at the end of the short-term incentive plan, and participation in the conversion plan.
The potential rewards from the plan will be paid partly in Taaleri shares and partly in cash. The cash proportion of the reward is intended to cover taxes and statutory social security contributions arising from the reward to the participant. As a rule, no reward will be paid if the participant’s employment or director contract terminates before the reward payment.
The value of the rewards to be paid on the basis of the plan is expected to correspond to a maximum total of 180,000 shares of Taaleri Plc, including the proportion to be paid in cash.
The plan is offered to the personnel covered by Taaleri Group’s general short-term incentive plan, including the CEO and other members of the Executive Management Team.
