Hamilton, Bermuda – (22 December 2023) - GoodBulk Ltd. (the "Company") (N-OTC: BULK). Reference is made to the announcement regarding the members' written resolution to reduce the Company's issued share capital made on 11 December 2023. The Company has on 21 December 2023 received the required number of votes and has therefore concluded the members' written resolution earlier than the previously announced closing date of 31 December 2023, and it has successfully resolved to reduce the Company's share capital by reducing the par value of each common share from USD 1.00 to USD 0.01, and to credit (i) USD 20,200,000 of the amount of the reduction to the retained earnings account of the Company and (ii) USD 6,592,384 to the contributed surplus account of the Company. 

Following the share capital reduction, the Company has an authorized share capital of USD 33,000,001 divided into 300,000,000 common shares of par value USD 0.01 each, 1 class A share of par value USD 1.00 and 30,000,000 preference shares of par value USD 1.00 each.
